Terms of Service

These Terms of Service ("Terms") govern your access to and use of PBNetwork.tv and related websites, apps, content, products, tools, and services operated by GRT Paintball LLC d/b/a Paintball Broadcast Network ("PBN," "we," "us," or "our"), including without limitation Home, Featured, Field Pass, Film Room, MasterClass, Broadcast Suite, and Shop (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

The Service is a general-audience platform and is not directed to children under 13.

You must be at least 13 years old to use the Service. If you are between 13 and 17 years old, you may use the Service only with permission from a parent or legal guardian.

You agree to provide accurate, current, and complete account information and to keep it updated, including your account email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Accounts, subscriptions, and Broadcast Suite access are non-transferable. You may not sell, assign, share, sublicense, or transfer your account or access to any other person without our prior written permission.

We may refuse service to anyone, in our discretion, to the extent permitted by law.

2. Membership Access and Plans

PBN may offer both free and paid access tiers. Features, content, and availability may change over time.

Free membership may include access to selected public or free portions of the Service, such as Home and Featured content.

Paid membership, currently referred to as PBN Plus, may include access to premium features or areas such as Field Pass, Film Room, MasterClass, and other paid features we make available.

Broadcast Suite may be offered only to approved users, channels, partners, or subscribers, and may be subject to separate eligibility, technical, operational, or approval requirements in addition to these Terms.

Your access level depends on your plan, account status, payment status, compliance with these Terms, and any additional rules or requirements we apply to the applicable Service or feature.

3. Billing, Trials, Renewals, and Payment

Paid subscriptions may be offered on a monthly or annual basis. Annual plans are billed upfront for the full annual billing period.

By purchasing a paid subscription, you authorize us and our payment processor to charge your selected payment method on a recurring basis until canceled.

All paid subscriptions automatically renew unless canceled before the next renewal date.

If we offer a free trial, including a 7-day free trial, your subscription will automatically convert to a paid subscription at the end of the trial unless you cancel before the trial ends. We may send a trial reminder email approximately 24 hours before the first charge.

You may cancel through your account billing page. Cancellation stops future renewals, but unless otherwise required by law, cancellation does not retroactively cancel charges already incurred. If you cancel, you will retain paid access through the end of your current billing period, after which your access may downgrade to a lower or free tier if available.

If a payment fails, we may retry the payment for up to 14 days or another reasonable period before downgrading, suspending, or terminating paid access.

Prices, plans, features, and promotions may change. For existing paid subscribers, material price changes will apply on the next renewal after notice.

Except where required by law, all subscription payments are non-refundable, including for partial billing periods, unused time, forgotten cancellations, or lack of use.

Taxes, fees, and similar charges may be added where applicable and are your responsibility.

4. Electronic Communications and Notices

By using the Service, you consent to receive communications from us electronically, including by email and through the Service. These communications may include receipts, billing notices, trial reminders, service announcements, support messages, legal notices, and other account-related communications.

You are responsible for keeping your account email address current. Notices we send to the email address associated with your account will be deemed valid notice.

5. Acceptable Use

You may not use the Service to:

share login credentials or allow unauthorized access to your account or paid features;
bypass access controls, membership gates, plan restrictions, or technical protections;
scrape, poll, crawl, harvest, or collect data from the Service by automated means except as expressly authorized by us;
reverse engineer, probe, test, exploit, or interfere with the security, infrastructure, or operation of the Service;
record, download, copy, restream, rebroadcast, redistribute, publicly display, or publicly perform premium PBN content except as expressly allowed by the Service or with our prior written permission;
resell, rent, sublicense, white-label, or offer Broadcast Suite or any part of the Service as your own product or service without our prior written permission;
use the Service for fraud, impersonation, unlawful conduct, harassment, threats, harmful conduct, or abuse;
upload, submit, or distribute malware, harmful code, or other malicious content.

We may investigate suspected violations and may take any action we determine appropriate, including warnings, removal demands, temporary restrictions, feature limitations, upload restrictions, content takedowns, account suspension, termination, refusal of renewal or future purchases, preservation of records, reporting to third parties or authorities where appropriate, and pursuit of legal remedies.

6. User Content

You may be able to upload, submit, stream, transmit, post, or otherwise provide content through the Service, including logos, text, graphics, videos, feeds, and similar materials ("User Content").

You retain ownership of your User Content. However, by submitting User Content to or through the Service, you grant PBN a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, perform, reformat, crop, resize, subtitle, caption, brand, edit, create derivative promotional materials from, and otherwise use that User Content as reasonably necessary to operate, improve, market, and promote PBN and the Service.

If PBN creates promotional materials, clips, posts, screenshots, or other derivative promotional assets from User Content before the original User Content is removed, deleted, or your account is closed, PBN may continue to use those already-created materials for PBN-related purposes.

You represent and warrant that you own or control all rights necessary to upload, submit, stream, or otherwise provide your User Content and to grant the licenses in these Terms, including any necessary rights relating to music, footage, logos, trademarks, images, likenesses, permissions, or consents.

7. Prohibited Content

You may not upload, submit, stream, or provide content that:

infringes copyright, trademark, publicity, privacy, or other rights;
misuses branding or falsely suggests affiliation;
impersonates another person or entity;
is fraudulent, deceptive, or unlawful;
contains malware or harmful code;
contains pornography or explicit sexual content;
contains hate content, threats, or harassment;
discloses private, confidential, or sensitive information without authorization.

In addition to these specific prohibitions, we may remove, reject, disable, or restrict content that, in our reasonable judgment, creates legal, security, operational, reputational, or platform risk.

8. Broadcast Suite Terms

Broadcast Suite is a professional feature set intended for authorized users and may be used for commercial productions only as permitted under the applicable plan, approval, and these Terms.

8.1 Feed Requirement

Every Broadcast Suite user must provide PBN with a live RTMP feed or another feed format approved by PBN. This feed requirement is a condition of Broadcast Suite access.

If a Broadcast Suite user fails to provide the required feed, or stops providing it, PBN may, in its discretion, limit, suspend, or revoke Broadcast Suite access, with or without an opportunity to cure.

8.2 Limited Marketing Rights

By using Broadcast Suite in any production, the user grants PBN a limited, non-exclusive, worldwide, royalty-free license to reference, identify, and promote that production for PBN-related purposes, including through screenshots, excerpts, clips, public production titles, customer identification, case studies, social posts, website promos, and similar marketing uses.

8.3 Feed-Based Hosting and Replay Rights

When a Broadcast Suite user provides PBN with the required feed, the user grants PBN a broader, non-exclusive, worldwide, royalty-free license to ingest, receive, encode, transmit, host, display, stream, replay, clip, archive, republish, and promote that production on or through PBN and related PBN services.

8.4 Rights Limitation

Any license granted under this Section applies only to productions, feeds, and materials that the user owns or has authority to license to PBN. Use of Broadcast Suite does not permit a user to grant rights they do not control.

8.5 Broadcast Branding

PBN may require a "Powered by PBN" credit, branding element, or watermark in Broadcast Suite outputs. By using Broadcast Suite, you agree to such branding requirements.

9. Customer Identification and Marketing Use

Unless otherwise agreed in writing, PBN may use a customer's name, logo, and public production title to identify that customer as a Broadcast Suite user or Service customer in PBN marketing, promotional materials, social posts, website content, and case studies.

10. Intellectual Property

The Service and all related software, branding, design, site layout, text, graphics, video presentation, overlays, visual assets, interface elements, and other PBN materials are owned by PBN or its licensors and are protected by law.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purposes.

Except as expressly permitted for approved Broadcast Suite use, you may not reproduce, distribute, modify, publicly display, publicly perform, create derivative works from, or commercially exploit any part of the Service without our prior written permission.

11. Feedback

If you provide us with ideas, suggestions, proposals, improvement requests, feature requests, bug reports, or other feedback, you agree that we may use that feedback without restriction, attribution, or compensation to you.

12. Shop Terms

The Shop may offer physical products for sale in the United States only.

All sales are final except as expressly provided in this Section. We do not offer returns or exchanges for buyer's remorse, incorrect size selection, or change of mind.

If an item arrives damaged, defective, incorrect, or is lost in transit, you must contact us within 30 days of delivery or expected delivery, as applicable. We may require photos, order details, or other reasonable documentation. Remedies, if any, may include replacement, refund, or other resolution determined by PBN in its discretion and subject to review.

If tracking shows an order as delivered but you report that it was not received, we may review the situation case by case. Such cases do not automatically qualify for a refund or replacement.

Orders may not be canceled or changed once they have been submitted for production or fulfillment.

Shipping and delivery timeframes are estimates only and are not guaranteed.

Taxes, shipping charges, and other applicable fees may be added at checkout and are the customer's responsibility.

13. Third-Party Services and Content

The Service may depend on, integrate with, embed, or make use of third-party services, platforms, payment processors, hosting providers, video providers, fulfillment providers, and other external tools or content.

PBN is not responsible for third-party services, third-party content, or problems caused by third parties, including outages, delays, removals, policy changes, failures, interruptions, inaccuracies, lost data, or limitations imposed by those third parties.

Your use of third-party services may also be subject to those third parties' own terms and policies.

14. Service Availability, Content Availability, and Beta Features

We may add, change, limit, suspend, remove, discontinue, or replace any part of the Service at any time.

We do not guarantee uninterrupted, secure, or error-free operation of the Service, or that any specific content, live event, replay, archive, integration, or feature will remain available for any particular period of time.

Some features may be labeled or treated as beta, pilot, test, or early access. Such features may be unstable, incomplete, modified, limited, or removed at any time.

For material changes affecting paid features, we may provide reasonable notice when practical.

15. Monitoring and Enforcement

We may monitor use of the Service for security, fraud prevention, abuse detection, platform integrity, performance, analytics, and policy enforcement.

We may preserve logs, records, content, account data, transactional data, evidence, or other materials as reasonably necessary for legal, security, compliance, operational, support, and archival purposes.

16. Suspension, Termination, and Effect of Termination

You may stop using the Service at any time. You may cancel paid subscriptions as described above.

We may suspend, restrict, disable, downgrade, or terminate your account, your content, your access to specific features, or your access to the Service at any time for any reason permitted by law, including for fraud, abuse, non-payment, policy violations, rights complaints, security issues, platform risk, or failure to meet Broadcast Suite requirements.

Upon suspension or termination, your right to access applicable parts of the Service may end immediately or at the end of the current paid billing period, depending on the reason and our decision.

Termination or cancellation does not entitle you to a refund except where required by law.

After termination or deletion, we may retain backups, logs, billing records, compliance records, security records, and already-created promotional materials for legal, operational, security, and archival purposes.

17. Copyright and DMCA Policy

If you believe content on the Service infringes your copyright, you may send a copyright complaint or DMCA notice to: team@pbnetwork.tv

PBN may remove or disable access to content in response to copyright complaints, valid notices, or other reasonable infringement concerns.

PBN maintains a repeat infringer policy. If a user receives three strikes based on valid copyright notices or PBN's reasonable confirmation of infringement, PBN may terminate that user's account or access. PBN may also remove content, restrict uploads, suspend access, or terminate accounts immediately for serious or obvious cases, including piracy, fraud, impersonation, illegal content, or major platform risk.

18. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PBN DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

PBN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT, FEATURE, OR FUNCTIONALITY WILL ALWAYS BE AVAILABLE.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PBN AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, BUSINESS OPPORTUNITY, OR ACCESS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PBN'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO PBN IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.

20. Indemnification

You agree to defend, indemnify, and hold harmless PBN and its affiliates, owners, officers, employees, contractors, licensors, and service providers from and against any claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees and costs, arising out of or relating to:

your User Content;
your feeds, productions, or Broadcast Suite use;
your violation of these Terms;
your infringement or violation of any rights of another person or entity;
your unlawful, fraudulent, deceptive, or harmful conduct;
your misuse of the Service.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service must be brought exclusively in the state courts located in Butler County, Missouri, or, if federal jurisdiction exists, the United States District Court for the Eastern District of Missouri. You consent to the personal jurisdiction and exclusive venue of those courts.

22. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PBN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.

23. Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PBN KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, CLAIM, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

24. Pre-Suit Notice and Opportunity to Cure

Before filing a lawsuit against PBN, you agree to send written notice of the dispute to team@pbnetwork.tv and give PBN at least 30 days to attempt to resolve the issue.

25. Time Limit to Bring Claims

To the maximum extent permitted by law, any claim or cause of action arising out of or relating to the Service or these Terms must be brought within one (1) year after the claim arose, or it will be permanently barred.

26. Injunctive Relief

You acknowledge that unauthorized account sharing, rebroadcasting, scraping, misuse of PBN intellectual property, misuse of Broadcast Suite, or other violations of these Terms may cause irreparable harm to PBN for which money damages may not be an adequate remedy. PBN may seek injunctive or other equitable relief in addition to any other remedies available.

27. Force Majeure

PBN will not be liable for any delay, interruption, failure, or inability to perform caused by events outside our reasonable control, including failures of hosting providers, internet or telecommunications outages, power failures, cyberattacks, labor disputes, natural disasters, severe weather, government actions, war, civil unrest, or third-party service interruptions.

28. Assignment

PBN may assign, transfer, or delegate these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, reorganization, or other business transfer.

You may not assign, transfer, delegate, sell, or otherwise dispose of your rights, account, subscription, or access under these Terms without our prior written permission.

29. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

30. Waiver

If PBN does not enforce a provision of these Terms in one instance, that does not waive our right to enforce it later.

31. Survival

Any provisions of these Terms that by their nature should survive cancellation, expiration, suspension, or termination will survive, including without limitation provisions relating to payment obligations, refunds, intellectual property, User Content licenses, Broadcast Suite rights, disclaimers, limitation of liability, indemnification, dispute resolution, class action waiver, jury trial waiver, pre-suit notice, time limits, and copyright enforcement.

32. Entire Agreement

These Terms, together with the Privacy Policy and any additional service-specific terms, rules, requirements, or policies we post or provide, constitute the entire agreement between you and PBN regarding the Service and supersede prior or contemporaneous understandings relating to the Service.

33. Changes to These Terms

We may update these Terms from time to time. Updated Terms become effective when posted with a revised "Last updated" date, unless a different effective date is stated.

If you continue using the Service after updated Terms become effective, you agree to the revised Terms.
